PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Exchequer Finance website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. You represent and warrant that you are not located in, under the control of, or a national or resident of any restricted jurisdiction.

2. Description of Services

Exchequer Finance provides a platform that facilitates the issuance of structured financial products by third-party projects ("Issuers") and allows users to interact with these products, primarily through smart contracts deployed on various public blockchain networks. We are not an Issuer unless explicitly stated. We do not provide financial, investment, legal, or tax advice.

3. Risks

You acknowledge and agree that:

  • Structured Products are High-Risk: Structured products are complex financial instruments with significant risks, including the potential loss of your entire principal investment. You should have sophisticated knowledge of financial markets to understand these products.
  • Smart Contract Risks: Interacting with smart contracts involves risks, including bugs, vulnerabilities, exploits, and potential loss of funds. Smart contracts are generally immutable, meaning errors cannot be easily corrected.
  • Blockchain Risks: Blockchain technology is nascent. Transactions are irreversible and permanently recorded. Network congestion, forks, or other issues can affect transactions.
  • Volatility: The value of cryptocurrencies and related assets can be extremely volatile.
  • No Financial Advice: Exchequer Finance does not provide investment advice or recommendations. Any information provided is for informational purposes only. You must conduct your own research and due diligence.
  • Regulatory Uncertainty: The regulatory landscape for digital assets, blockchain technology, and structured products is evolving and uncertain.

4. Your Responsibilities

  • You are solely responsible for managing your own cryptocurrency wallets, private keys, and security.
  • You are responsible for understanding the nature and risks of any structured product or smart contract you interact with via our Services.
  • You are responsible for complying with all applicable laws and regulations in your jurisdiction.
  • You are responsible for any taxes associated with your transactions.

5. Use of the Platform

  • You agree not to use the Services for any illegal or unauthorized purpose.
  • You agree not to interfere with the security or integrity of our Services or the underlying blockchain networks.
  • You acknowledge that all transactions initiated through the Services that interact with blockchains are final and irreversible.

6. Intellectual Property

The Services, including the website, text, graphics, logos, and software, are the property of Exchequer Finance or its licensors and are protected by intellectual property laws.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXCHEQUER FINANCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXCHEQUER FINANCE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING ISSUERS; (c) ANY CONTENT OBTAINED FROM THE SERVICES; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, INCLUDING ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY, ERRORS OR OMISSIONS IN ANY CONTENT, OR SMART CONTRACT VULNERABILITIES OR FAILURES.

9. Indemnification

You agree to indemnify and hold harmless Exchequer Finance and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of New South Wales, Australia, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Sydney, Australia.

11. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of changes by updating the "Last Updated" date. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms.

12. Termination

We may terminate or suspend your access to the Services at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms.
